The main purpose of this role is to assist the Chief Executive Officer ensuring good governance of the Commission and compliance with the Commission's statutory role and obligations as a leading organisation.
You will coordinate and support a wide range of meetings, ensuring that they operate in accordance with all legal and internally agreed standards and procedures, including the preparation of agendas, preparation and distribution of papers, drafting and circulation of minutes and papers, ensuring that action is taken, and where appropriate taking action personally, on decisions.
You will also maintain the forward work plan for all committees and operational meetings to ensure the effective conduct of business, within the business planning cycle.

This role will work closely and support several key areas of the business, these will include:

Governance

*You will work with the Chief Executive Officer to ensure the implementation of effective corporate governance
*Maintain oversight of statutory and administrative duties placed on the organisation by the sponsor department in the Framework Agreement and other requirements.

The Organisation and its standing committees (Audit and Remuneration Committees)

*Providing specialist advice on administrative and procedural issues
*Maintain forward work plan
*Work with Committee chairs, coordinate the preparation of papers, ensuring that all papers are of an appropriate standard and are available to members sufficiently in advance of meetings to allow members appropriate time frames for review and consideration
*Ensure that minutes are maintained of meetings
*Ensure that non-executive members are kept abreast of key organisation developments
*Work with the Commission Chair to forward plan meeting agendas and papers
*Prepare and circulate papers within agreed time frames
*Prepare minutes of meetings, including tracking action points arising from meetings and details of actions to be undertaken by management
*Prepare the Chairman's brief for Commission meetings.
*Maintain a record of when members' terms of appointment are due for renewal or termination including liaison with appointments of non-executives.
*Ensure that new members receive appropriate induction training,
*Managing expenditures relating to committee operations
*On behalf of the Chair be the key point of contact for Non-Executives and assist in maintaining communication channels between the Executive and Non-Executives.

Operational Committees

*Maintain forward work plan
*Work with Committee chairs, coordinate the preparation of papers, ensuring that all papers are available to members sufficiently in advance of meetings to allow members appropriate time frames for review and consideration;
*Prepare minutes of meetings, including tracking action points arising from meetings and details of actions to be undertaken;
*Maintain standing registers (audit recommendations, operational/strategic/project risk registers

PERSON SPECIFICATION

To be successful in this role you must have experience working within a similar role at Executive\ Board level and have detailed knowledge of committee practice and support. You must have advanced level experience and a proven track record in the following:
*Organising meetings, writing agendas and taking accurate concise minutes
*Agenda planning
*Proficient in MS office suite.
*Experience drafting Board level papers
*Experience of maintaining corporate compliance within a statutory framework.

You must have excellent interpersonal skills with the ability to deal confidentially with high level contacts and to exercise tact and diplomacy in all situations. The ability to communicate complex issues confidently, clearly and accurately - both in writing and orally. You must be able to act on own initiative and work autonomously while working as part of a wider team

Qualifications
*Educated to degree level or equivalent
*Institute of Chartered Secretaries and Administrators qualification
